Everybody wants their pound of flesh (negotiating with buyers ...

I recently wrote a post about negotiating with suppliers called ?The End of the Mexican Road.?

The post talked about how to find the lowest acceptable price & terms in a deal through testing.

In the post I made clear that I believe that all negotiations should seek to find fair deals where both parties can feel good about the outcomes. But that doesn?t mean always just saying ?let?s split the terms 50/50 down the middle.? Often that doesn?t make sense.

But what about when you?re negotiating with buyers and not suppliers?

This process is obviously very different as you will likely have much less leverage.

Most people claim to not want to deal with the hassles of negotiating. I think most of us feel this way, really. But it?s not a reality in business. While you may be able to offer a price & terms for your service and not ever negotiate (especially if you?re an Internet company that sells cheaply to small businesses over the web and without onsite support & service) ? you?ll still likely have to negotiate on business development deals. So please see this post through that lens ? at some point when you deal with larger companies: enterprise buyers, biz dev partners, VCs or one day acquiring companies ? you?ll like encounter these negotiation issues.

I could sum up my negotiation mentality as a seller in one phrase that I?ve used as short-hand for my portfolio companies for years, ?Everybody wants their pound of flesh.?

It?s short-hand for showing that despite our aversion to the process of negotiations ? as buyers we?re conditioned to it and even rewarded for it.

Here?s what a big company negotiation looks like:

1. Your Primary Buyer

You obviously start your process with a primary buyer. This is the person who is sponsoring a deal with your company. You need to know that unless you?re selling into a CEO this person has a cast of characters behind her that need to approve her decision ? even if she holds the budget.

And like it or not, one important way that she will be judged by others is her ability to commercially negotiate a deal with you. If she is seen to accept your initial offer on: Price, payment terms, service-level agreements, remedies for service problems, cancelation clauses, indemnities and all of the other terms of a standard agreement then she will be seen as weak.

So whatever terms you offer her, she will likely push back. She?s already built in an assumption that your first offer isn?t likely your best.

Yes, I know it would be much easier and frankly more pleasant to just be able to put in THE offer and say, ?I know that most sellers (or biz dev partners) negotiate. We hate playing games so we don?t negotiate. Our offer is our offer.?

Good luck with that.

I swear after all these years I?ve tried just about everything including trying to cut to the chase with the, ?no really, this is the deal we want to do? kind of offer.

People are genetically programmed to negotiate anyways.

And they have the incentives to show their colleagues and superiors that they got you to move from your original offer.

Everybody. Wants their pound of flesh. Everybody.

So as distasteful as it might be to you, you?ve got to build in a buffer into your negotiations. You?ve got to have some wiggle room on price and on terms. You?ve got to have both substantive points in which you?re willing to be flexible and also some ?throw away? points you really don?t care about but which will become part of your negotiation.

If you don?t, I assure you that you?ll cut into muscle or lose deals for seeming inflexible (rather than the honest, non-gaming-playing executive that you were hoping to be).

2. Your IT Reviewer

So your buyer put you through the ringer to show her independence. She got you to drop price and include more licenses for free. She got you to offer free storage and discounted training. She got you to remove your 6-month cancelation clause (heck, you never really expected 6-months cancelation, did you?).

But now your deal needs to pass through IT. This is the ?deal prevention? team in many big corporations. And not that I blame them. They?ve had years of business-unit managers buying software solutions they didn?t need and that eventually become shelfware. Or they have internal tools that they want you to use but you prefer the sexy tools offered on the market.

So IT will both chop your deal off at the knees and if they let you through they?ll extract their pound of flesh. They?ll push you on your uptime SLA, they?ll push for harsher penalties for non-compliance, they demand security reviews ? heck ? if you?re small enough they?ll push for ?source code deposits.? That can be brutal.

If you leave no room for IT negotiations you?ll take an unexpected haircut.

3. Procurement (or Biz Dev Team or M&A Department)

Up until now you?ve done fine. Your business unit buyer isn?t used to negotiating software and if you won over the IT team with your prowess then you?re feeling pretty good.

Now it?s time for the real leg breakers. If you?re selling to small businesses they may not have a procurement team. But all large companies do. And when they get involved all of your non-standard terms go away. You get people who don?t care at all about ?relationships? with you. All of your sales training techniques are useless to their procurement Teflon. Procurement departments are professionally aloof from sales processes.

I would have lines like, ?if GoToMeetings is willing to sell for price X, why should I pay more for you??

Me, ?well, let?s look at the business case for our software implementation. We believe we?ll be saving you more than $1 million per year for 5 years and this was prepared by your team.?

Their bullshit meters are too finely tuned for that type of negotiation.

?I don?t care about that. I don?t want to pay more for your product than I pay for similar products.?

That?s their job. No procurement professional gets ahead by saying, ?hey guys, I read their terms. This deal is actually pretty fair. Let?s just approve it.?

Everybody is judged and promoted based on their ability to extract their pound of flesh. In fact, if your primary buyer doesn?t champion you through procurement you?re pretty much screwed. You have to look for a buyer that knows that procurement will demand unreasonable terms and who wants to work with you badly enough that they?ll push procurement to be fair.

Still, procurement must be fed. They need some wins.

Biv Dev teams? Same. Born to negotiate and trade terms.

M&A? Do they want to tell the CEO that they bought you for your asking price? And no lock-in? No earn outs? No risk to you for non performance? Naw. M&A needs flesh.

4. And so on Down the Line

Your buyer?s boss. Have you ever met a boss who looks at an agreement and simply says, ?Yeah, I?m fine with that. Go ahead!? And just wait until the legal department weighs in. You?ll have all sorts of terms added that you?ve never even heard of. Remember that clause about your customer doing a big press announcement about the deal? Not so much. The marketing department will cut that off at the pass. And then, of course, there?s the CEO or SVP if your agreement is large enough or if it?s an M&A transaction. Even the big boss want?s her piece of flesh.

So What do Do About it?

By now it is a small miracle that you still have a deal on the table. If you started the process with your ?best & final offer? at this point your deal is probably upside down. As you get through the multiple stage-gates people will demand their toll ? whether you have something you feel you can offer or not.

So start with your final position at your own peril. I know your gut would tell you, ?Don?t play games! We all hate games!? we tell ourselves. Mine, too. But then there?s reality. The sooner you accept realpolitik the sooner you realize that the incentive structures of dealing with companies, organizations and political structures (not to mention human nature) requires you to play the game. It requires you to start with some fat in your deal.

? Have some room to compromise on pricing. I usually recommend that you even signal to your buyer that there is probably some room there. Why? You don?t want to be knocked out early because your prices are way out of the ballpark. Let them know there?s probably some flexibility. Actually, if you realize their internal incentives you are ironically doing them a favor by having some fat on price.
? Have some terms that you would love to win but aren?t wedded to. Perhaps it?s having your customer pay annually in advance when your goal is really monthly in advance. With your first buyer you might agree quarterly in advance. Somebody later will negotiate you down to monthly. And beyond that to monthly in arrears
? Have some room in the SLA for the IT department, some room on legal terms for the legal department

After all, if everybody wants their pound of flesh, you?re screwed if you start with only muscle.

I know it sucks. The people most averse to this message are often young, idealistic professionals who haven?t yet realized the world works this way. Or hackers who want an ideal world in which you build beautiful software and people just pay what?s fair.

But don?t hang the messenger. I?ve seen this enough first hand to know that ? the world just is the way it is. Organizations are not static. They?re filled with people, politics and incentives.

Personal Best: Exercising in the Heat Can Boost Performance

Of course you know this summer has been just unbearably hot and humid in most of the country. Of course you are tired of hearing people whine about how hard it is to exercise in the heat.

But there may be a bright side for athletes in this misery: Performance actually may improve as a result of their struggles with soaring temperatures.

The idea is straightforward. When you exercise on a hot day, the challenge for your body is to get blood to the skin ? to keep body temperature from getting dangerously high ? while at the same time delivering blood to the muscles.

At first, the body struggles. But after four or five days of exercise under these conditions, it starts to acclimate to the heat. Blood volume increases, less oxygen is needed to generate the same amount of power, the heart becomes more efficient, and muscles become more forceful and use less glycogen, their preferred fuel.

?Performance is dramatically altered by acclimation,? said Dr. Benjamin D. Levine, director of the Institute for Exercise and Environmental Medicine in Dallas.

In a way, it is analogous to what happens when people exercise at high altitudes. The body adapts by making more red blood cells that increase the amount of oxygen delivered to muscles, improving performance during training and races at lower altitudes.

Alberto Salazar, a former champion marathon runner who coaches for Nike, has said ?altitude training is absolutely essential? for any endurance athlete who wants to be internationally competitive. Indeed, the mantra for elite endurance athletes has become, ?live high, train low.?

Recently, one group of researchers wondered whether heat acclimation produce a similar performance boost.?If someone was to prepare for heat acclimation and then ended up in a cool condition, could there be a benefit to having trained in heat? Or would there be a detriment?? asked Christopher T. Minson, professor of human physiology at the University of Oregon.

He and his colleagues studied trained and experienced cyclists who knew how to push themselves and how to compete. They were divided into two groups. Both did hard speed and endurance workouts outside on cool mornings. In the afternoons, the experimental group then did an easy workout in a hot room ? 106 degrees ? that was kept dry so sweat could evaporate. The control group did the same afternoon workout but in a room at 55 degrees.

The results were striking. After 10 days of heat acclimation, performance in the experimental group improved by 4 percent to 8 percent when they rode as hard and fast as they could. That sort of increase ?is the difference between coming in first or 21st in a time trial event,? Dr. Minson said.

It was even better than altitude training, he added ? the performance advantage was slightly greater and more consistent than what athletes get when they ?live high, train low.?

So will those of us who have been running or cycling or doing other strenuous exercise outside in the summer heat and humidity be faster and stronger than ever on crisp fall days? That?s not clear, Dr. Minson said.

The problem is that to get faster you have to run or ride faster in your training workouts. And when it is hot ? and especially, hot and humid ? your body slows down to prevent dangerously high core temperatures. The result is that you simply can?t run or ride as fast. That?s why the cyclists in his study did their speed workouts in cool temperatures and used the hot room only to acclimate to exercise in heat.

But there may still be an advantage, Dr. Minson added. There is a large psychological component to performance, and those who do hard workouts outside on hot, humid days have to overcome mental barriers to push themselves. That sort of toughness can translate into improved performance.

Dr. Minson and others say they do not know of any rigorous studies asking whether people who do all their training in hot and humid environments get a performance boost. But ?there are real physiological changes that have been accrued,? Dr. Levine said. Dr. Minson suggests that if you really want to get the benefits of heat acclimation, you should do most of your workout outside and then go into a cool, dry gym to finish with a speed workout.

Dr. Levine thinks heat stress has been sadly neglected in athletes? search for a performance edge. Even with the paltry amount of research that has been done so far, the results are striking enough for him to suggest that elite athletes think of using heat in addition to altitude for their training.

The new mantra, he says, could be, ?live high, train low ? and hot.?

(AP) ? Eddie Murray made big money in baseball with his powerful swing from both sides of the plate.

According to the Securities and Exchange Commission, he had some illicit help after leaving the game.

The Hall of Fame slugger has agreed to pay $358,151 to settle federal civil charges of profiting in stock trades by using confidential information passed to him by a former teammate.

The SEC on Friday also announced related charges against James Mazzo, former CEO of Advanced Medical Optics, and businessman David Parker. The SEC said Mazzo provided illegal tips about a planned acquisition of Advanced Medical Optics by Abbott Laboratories in January 2009.

Mazzo passed the information to Murray's former teammate, Doug DeCinces, who tipped off Murray and Parker, the SEC alleges in a civil lawsuit. DeCinces settled the SEC's charges a year ago by agreeing to pay $2.5 million.

Murray, who retired in 1997 with more than 500 home runs and 3,000 hits, neither admitted nor denied wrongdoing but agreed to refrain from future violations of securities laws.

The SEC is still pursuing its cases against Mazzo and Parker.

Mazzo is now president of Abbott Medical Optics Inc. Through his attorney, Mazzo said he "flatly and unequivocally denies the SEC's allegations."

The attorney, Richard Marmaro, said in a statement: "We are confident that an independent, objective fact-finder will fully exonerate Mr. Mazzo after a fair evaluation of all of the evidence."

Murray's lawyer, Michael Proctor, noted that his client didn't admit wrongdoing in the settlement. Murray "has settled this to put the case to an end and get on with his life," Proctor said.

An attorney for Parker declined to comment.

The amount Murray is paying consists of:

? $117,657 as a civil penalty.

? $235,314 in restitution ? the sum of his alleged illegal profits.

? $5,180 in interest.

Murray, 56, who lives in Santa Clarita, Calif., was a switch-hitting first baseman for the Baltimore Orioles from 1977-88. After DeCinces left the Orioles, he and Murray maintained a close friendship, according to the SEC.

The agency said that Mazzo, 55, and DeCinces also were close friends and lived in the same exclusive community in Laguna Beach, Calif.

"It is truly disappointing when role models, particularly those who have achieved so much in their professional careers, give in to the temptation of easy money," Daniel Hawke, chief of the SEC enforcement division's market abuse unit, said in a statement.

The SEC said that weeks before an announcement of Abbott's acquisition of Advanced Medical Optics, Mazzo told DeCinces about the deal. As CEO of Advanced Medical Optics, Mazzo knew about it. DeCinces then bought 90,700 shares of AMO through several brokerage accounts, according to the SEC.

DeCinces, in turn, passed the information to at least five people, including Parker and Murray, the SEC says, and they all bought AMO stock.

The merger agreement was announced on Jan. 12, 2009. Abbott agreed to pay $22 a share for AMO. That day, the stock closed at $21.50 a share ? a 143 percent jump from $8.85 a share the day before.

DeCinces sold his shares for a profit of about $1.38 million, the SEC said. And it said the five people DeCinces tipped off made a total of $2.4 million in alleged illegal profits.

The Orioles declined to comment Friday.

Though salaries for top players during his day were not what they are now, Murray signed several free-agent contracts in the 1990s and made tens of millions in the game. He protected his privacy and had a reputation for being surly with reporters, but Murray was an unquestioned clubhouse leader who was respected by teammates and opponents alike.

A durable star nicknamed "Steady Eddie," he also played for the Los Angeles Dodgers, New York Mets, Cleveland Indians and Anaheim Angels in a 21-year major league career. Murray finished with 504 homers and 3,255 hits, making him one of only four players to reach both 500 home runs and 3,000 hits.

Hank Aaron, Willie Mays and Rafael Palmeiro are the others.

Murray, an eight-time All-Star and the 1977 AL Rookie of the Year, played in two World Series with Baltimore and one with Cleveland. He helped the Orioles win a championship in 1983 and was elected to the Baseball Hall of Fame on his first try 20 years later.

WikiLeaks founder Assange to face world's media

WikiLeaks founder Julian Assange was to face the world's media Sunday from Ecuador's embassy in London where he has been holed up for two months, but the Australian risks arrest if he steps outside.

As Assange prepared to make a statement due around 1300 GMT, WikiLeaks urged Sweden, which wants to question its website's founder over alleged sexual misconduct, to guarantee it would not extradite him to the United States.

"It would be a good basis to negotiate a way to end this matter if the Swedish authorities would declare without any reservation that Julian would never be extradited from Sweden to the USA," WikiLeaks spokesman Kristinn Hrafnsson told AFP by telephone.

Renowned Spanish lawyer Baltasar Garzon -- known for pursuing Chile's former dictator Augusto Pinochet and who is helping Assange's defence -- was meanwhile due to speak outside the embassy ahead of his client's appearance.

Around 50 police officers, roughly the same amount of Assange supporters and many members of the world's media were stood outside the embassy Sunday awaiting the statements.

Assange is said to be living in a small room within the building, which is situated in London's plush Knightsbridge district and round the corner from the luxury Harrods department store.

Amid a widening diplomatic row over the affair, Ecuador on Thursday granted asylum to Assange, whose website enraged the United States by publishing a vast cache of confidential US government files.

With police primed to detain him Sunday, Assange must find a way of speaking publicly without setting foot outside, raising the possibility of him being forced to speak from a balcony or lean out of a window.

WikiLeaks was tight-lipped about the logistics of Assange's planned appearance, with Hrafnsson saying what little he knew could not be discussed for security reasons.

But Britain's Foreign Office warned that the steps to the embassy were considered British territory, while police said officers would take "appropriate" action" if he strayed from the building.

Despite Ecuador providing a haven for Assange, British Foreign Secretary William Hague has said Britain has no choice but to seek his extradition.

Britain has angered Ecuador by suggesting it could invoke the Diplomatic and Consular Premises Act of 1987, which it says allows it to revoke the diplomatic immunity of an embassy on British soil and go in to arrest Assange.

Assange, 41, took refuge in the embassy on June 19 to evade extradition to Sweden. Supporters of the former hacker believe that once in Sweden he could be extradited to the United States.

Assange's mother on Sunday expressed confidence that her son would make it to Ecuador to continue his whistleblowing work.

"He's had billions of people around the world supporting him, the US and their allies are almost alone on this one and the support grows day by day," she said in an interview with Australia's ABC 24.

"It could be that the UK government decides to backtrack from this position of being the US lap dog and stands up for its own sovereignty as well as the sovereignty of Ecuador."

The South American country has meanwhile received powerful backing from regional allies as they warned Britain of "grave consequences" if it breaches diplomatic security at the London embassy.

Foreign ministers from the Venezuela-led so-called Bolivarian Alliance for the People of Our America (ALBA) flew to Ecuador on Saturday to demonstrate full diplomatic support.

"We warn the government of the United Kingdom that it will face grave consequences around the world if it directly breaches the territorial integrity of the Embassy of the Republic of Ecuador in London," said a statement issued at the end of the ALBA meeting.

WikiLeaks' publication of a vast cache of confidential government files has enraged the US government, while his backers fear he could be tried on espionage charges there and face the death penalty.

In 2010, WikiLeaks published hundreds of thousands of US military documents on the war in Iraq and Afghanistan, as well as diplomatic cables that deeply embarrassed Washington.
